General Terms and Conditions of Sale
1. Preamble
These general terms and conditions of sale (hereinafter "GTC") apply to all service provisions provided by Watermelon, LLC, located at Coutzet 8, 1264 St-Cergue, Switzerland (identification number CHE-135.208.748), hereinafter referred to as "the Provider", to its customers, hereinafter referred to as "the Client".
2. Services Offered
Watermelon offers the following services:
- Website creation
- Online store creation
- Maintenance contract
Order Process and Delivery:
The Client may order services online via the Watermelon website. After confirmation of the order and payment, Watermelon will begin the service provision according to the deadlines agreed upon at the time of the order.
Completion Deadlines:
The completion deadlines vary depending on the service ordered and will be specified upon order confirmation.
3. Prices and Payment Terms
Prices are indicated in Swiss Francs (CHF) and Euros (EUR). Payments can be made by Twint, credit card (Visa, MasterCard, etc.), and Apple Pay. Full payment is required to commence service provision.
Payment Delays:
In case of payment delay, Watermelon reserves the right to suspend the provision of services until full payment is received.
4. Intellectual Property Rights
Upon delivery of the service, Watermelon transfers to the Client the rights of use of the creation for the agreed domain of use. The Client is not authorized to modify or redistribute the creations without the prior written agreement of Watermelon.
5. Responsibilities
Watermelon commits to providing its services diligently and according to professional standards. Watermelon's liability is limited to direct and proven damages caused by its negligence. The Client is responsible for providing all necessary information for the performance of the services.
6. Modification and Termination
Any request for modification or cancellation of the order by the Client must be submitted in writing. Watermelon reserves the right to accept or refuse these modifications according to the conditions established on a case-by-case basis. The termination of the maintenance contract can be performed by both parties with a 30-day notice.
7. Confidentiality and Data Protection
Watermelon commits to respecting the confidentiality of information provided by the Client and to processing personal data in accordance with the GDPR and Swiss federal data protection law.
8. Disputes and Governing Law
Any dispute related to the services provided by Watermelon will be subject to mediation. In case of mediation failure, disputes will be settled by the competent court of Lausanne, canton of Vaud, Switzerland. These GTC are governed by Swiss law.
9. Miscellaneous
Force Majeure:
Watermelon will not be held responsible for any failure to perform resulting from a case of force majeure.
GTC Validity:
These GTC remain applicable even in the case of changes to legislation, to the extent that such changes do not render these conditions illegal or unenforceable.
